1. Introduction and Acceptance of Terms
These Terms of Use (“Terms”) govern access to and use of the website https://ad.media (the “Website”), as well as any related services, information, content, advertising opportunities, media planning services, booking services, and other services made available by Admedia Network DOO BEOGRAD (“Admedia Network DOO BEOGRAD”, “we”, “our”, or “us”).
By accessing, browsing, using, submitting inquiries through, requesting services from, or otherwise interacting with the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are accessing or using the Website on behalf of a company, organization, agency, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such case, references to “you” or “your” shall refer to both the individual user and the applicable legal entity.
If you do not agree to these Terms, you must not access or use the Website or any services provided through it.
These Terms should be read together with our Privacy Policy, Cookie Policy, Advertising Policy, and any other legal documentation made available on the Website, all of which form an integral part of these Terms.
We reserve the right to modify, update, or replace these Terms from time to time in accordance with Section 25 of these Terms.
2. Definitions
For the purposes of these Terms, the following terms shall have the meanings set forth below:

User means any individual or legal entity that accesses, browses, uses, or otherwise interacts with the Website.
Advertiser means any User, client, agency, organization, or other person that submits, requests, books, purchases, or participates in an advertising campaign through the Website or our Services.
Advertising Inventory means any advertising location, billboard, digital screen, radio slot, media placement, advertising surface, advertising opportunity, or other advertising medium offered directly by us or through our Business Partners.
Campaign means any advertising, promotional, marketing, sponsorship, branding, or communication activity arranged, requested, booked, purchased, or carried out through the Website or our Services.
Business Partner means any third-party media owner, operator, lessor, agency, contractor, service provider, or other partner cooperating with us in connection with the provision of advertising opportunities or Services.
Services means all services, features, tools, information, content, advertising opportunities, media planning services, booking services, and related activities made available through the Website.
3. About the Platform and Services
Admedia Network DOO BEOGRAD operates a platform through which Users may explore, request, plan, book, and arrange advertising opportunities across various advertising media, locations, and channels.
The Website is intended to facilitate communication between advertisers, agencies, clients, media owners, and other market participants and to provide information regarding available advertising opportunities and related Services.
Certain Advertising Inventory may be owned, operated, managed, leased, or controlled by Business Partners or other third parties.
Admedia Network DOO BEOGRAD may act as an intermediary between advertisers and media owners and does not necessarily act as the owner, lessee, operator, or controller of the Advertising Inventory.
The availability, pricing, technical specifications, campaign requirements, scheduling options, and other characteristics of Advertising Inventory may change without prior notice.
We reserve the right to modify, suspend, discontinue, restrict, or update any part of the Website or Services at any time.
4. Eligibility and User Obligations
You may use the Website only if you have the legal capacity and authority required to enter into binding agreements under applicable law.
Users agree to use the Website lawfully, responsibly, and in accordance with these Terms and all applicable laws and regulations.
Users shall not:
- provide false, inaccurate, misleading, or incomplete information;
- impersonate another person or entity;
- interfere with the operation, security, or integrity of the Website;
- attempt to gain unauthorized access to any part of the Website, systems, or networks;
- use automated means to scrape, collect, copy, or extract data from the Website without our prior written consent;
- use the Website for unlawful, fraudulent, harmful, or abusive purposes;
- upload, transmit, or distribute malicious software, viruses, malware, or harmful code.
Users are responsible for ensuring the accuracy and completeness of all information submitted through the Website.
5. Requests, Inquiries and Reservations
Users may submit inquiries, requests for proposals, campaign requests, reservation requests, or other communications through the Website.
Submission of an inquiry, request, booking request, or reservation through the Website does not constitute acceptance of any Campaign, create any binding agreement, or guarantee the availability of Advertising Inventory.
Any Campaign, reservation, placement, or advertising service shall be subject to availability, technical feasibility, approval requirements, applicable legal requirements, and any additional conditions communicated by us or our Business Partners.
We reserve the right to accept, reject, modify, postpone, suspend, or cancel any request, reservation, or Campaign at our reasonable discretion.
A Campaign may be commenced only after the execution or issuance of the written documentation governing the relevant Campaign, including a written agreement, booking confirmation, insertion order, media plan, quotation acceptance, or other applicable commercial documentation.
6. Advertising Campaigns and Business Partners
Campaign execution may be subject to review, approval procedures, technical requirements, inventory availability, scheduling limitations, content restrictions, and other requirements imposed by media owners, operators, authorities, or Business Partners.
Certain Campaigns may require additional documentation, licenses, permits, approvals, certifications, or legal confirmations before they can be accepted or implemented.
We do not guarantee that every requested Campaign, location, medium, schedule, or Advertising Inventory will be available or approved.
Business Partners and media owners may impose their own operational, technical, commercial, legal, or content-related requirements, and compliance with such requirements may be necessary for Campaign execution.
7. Campaign Agreements and Service Terms
Every Campaign and advertising service shall be governed by a written agreement, booking confirmation, insertion order, media plan, or other written commercial documentation concluded between Admedia Network DOO BEOGRAD and the Advertiser.
The scope of Services, Campaign specifications, scheduling, Campaign duration, cancellation terms, payment terms, technical requirements, deliverables, and other Campaign-specific conditions shall be governed by such documentation.
In the event of any inconsistency between these Terms and the agreement, booking confirmation, insertion order, media plan, or other documentation governing a specific Campaign, the provisions of such documentation shall prevail solely with respect to matters relating to that Campaign.
8. Advertiser Responsibilities
Advertisers are solely responsible for the accuracy, legality, completeness, and compliance of all Campaign materials, content, claims, statements, visual elements, trademarks, and other materials submitted in connection with a Campaign.
Advertisers represent and warrant that they possess all rights, licenses, permissions, approvals, and authorizations necessary for the use of all submitted materials.
Advertisers shall comply with all applicable laws, regulations, industry standards, advertising rules, and local requirements applicable to the Campaign and the jurisdictions in which the Campaign is displayed.
Advertisers remain fully responsible for all products, services, offers, statements, representations, and other matters promoted through their Campaigns.
9. Pricing and Payments
Prices, fees, quotations, estimates, and other commercial terms displayed on the Website are provided for informational purposes only unless expressly stated otherwise.
Advertising rates, media costs, production costs, placement fees, agency fees, taxes, and other charges may vary depending on availability, campaign requirements, media owner requirements, market conditions, technical specifications, and other relevant factors.
Unless otherwise agreed in writing, all quotations are non-binding, are provided for informational purposes only, and remain subject to confirmation and execution of the documentation governing the relevant Campaign.
Unless otherwise agreed in writing, all Campaign fees shall be paid 100% in advance by bank transfer to the bank account designated by Admedia Network DOO BEOGRAD in the agreed currency.
Except where expressly provided in these Terms, payment procedures, invoicing requirements, applicable taxes, cancellation fees, production costs, and other financial conditions shall be governed by the applicable quotation, invoice, booking confirmation, or separate written agreement.
Failure to make timely payment may result in suspension, cancellation, postponement, or refusal of Campaign execution.
In the event of late payment, Admedia Network DOO BEOGRAD reserves the right to charge statutory default interest, recover reasonable collection costs, and seek compensation for any damages incurred as a result of delayed or non-payment, to the extent permitted by applicable law.
Any contractual interest, penalties, liquidated damages, collection costs, or other financial consequences of delayed or non-payment may be further specified in the agreement, booking confirmation, insertion order, or other documentation governing the relevant Campaign.
10. Complaints and Claims
Any complaint relating to the Services, Campaign execution, invoices, payments, or other commercial matters must be submitted in writing without undue delay.
Complaints may be submitted to Admedia Network DOO BEOGRAD using the contact details specified in Section 26 (Contact Information) of these Terms or through any other contact channel expressly designated by Admedia for such purpose.
We shall review and respond to the complaint within ten (10) business days from the date of receipt.
The submission of a complaint shall not suspend any payment obligations unless otherwise required by applicable law or agreed in writing.
11. Intellectual Property
All intellectual property rights relating to the Website, including its design, layout, software, databases, trademarks, logos, text, graphics, audiovisual materials, and other content, are owned by or licensed to Admedia Network DOO BEOGRAD unless otherwise indicated.
Nothing contained on the Website shall be construed as granting any license or right to use any intellectual property without our prior written consent.
Users may not reproduce, distribute, modify, publish, display, transmit, create derivative works from, or otherwise exploit any content from the Website without our prior written authorization.
Advertisers retain ownership of their own advertising materials and intellectual property rights. By submitting materials to us, advertisers grant us the rights reasonably necessary to review, process, distribute, display, transmit, and otherwise use such materials for the purpose of providing the requested Services.
12. Third-Party Services and Media Partners
Certain Services, Advertising Inventory, advertising locations, media placements, radio slots, digital screens, billboards, and other advertising opportunities may be provided, operated, managed, controlled, or supplied by third parties.
We are not responsible for the acts, omissions, decisions, delays, restrictions, technical failures, service interruptions, operational issues, policies, or requirements of third-party media owners, operators, lessors, suppliers, service providers, or Business Partners.
Advertising inventory availability, scheduling, placement, technical specifications, and Campaign execution may depend upon third-party decisions and circumstances beyond our control.
Where we act as an intermediary, broker, coordinator, representative, or facilitator between advertisers and third parties, our responsibility shall be limited to the scope of services expressly undertaken by us.
Nothing in these Terms shall be interpreted as creating a partnership, joint venture, agency relationship, employment relationship, or other legal association between us and any User.
13. No Guarantee of Availability or Results
Submission of an advertising request, inquiry, or reservation does not guarantee campaign acceptance, advertising inventory availability, publication, display, placement, scheduling, duration, or the scope of display of any advertising content.
Unless expressly agreed otherwise in writing, we do not guarantee the achievement of any specific business, marketing, or commercial objectives of the Advertiser, nor any particular level of visibility, reach, brand awareness, audience response, or other campaign results.
We do not guarantee the availability of any specific advertising location, billboard, digital screen, radio slot, media placement, or other advertising inventory until the reservation has been finally confirmed.
We do not guarantee audience measurements, traffic volumes, listener statistics, audience demographics, media ratings, or any other audience-related metrics provided by third parties.
The availability of advertising inventory may be affected by media owner requirements, prior reservations, technical limitations, local regulations, force majeure events, or other factors beyond our reasonable control.
14. Disclaimer of Warranties
The Website and Services are provided on an "as is" and "as available" basis.
To the maximum extent permitted by applicable law, we disclaim all warranties, representations, and guarantees, whether express, implied, statutory, or otherwise, including any warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, non-infringement, availability, or uninterrupted operation.
We do not warrant that the Website will be error-free, uninterrupted, secure, or free from viruses, malware, or other harmful components. However, we make reasonable efforts to maintain the availability, security, and proper functioning of the Website and Services.
15. Limitation of Liability
To the fullest extent permitted by applicable law, Admedia Network DOO BEOGRAD shall not be liable for any indirect, incidental, consequential, special, punitive, or loss of profit damages arising out of or relating to the Website, Services, Campaigns, Advertising Inventory, Business Partners, or these Terms.
We shall not be liable for any losses resulting from decisions, actions, omissions, delays, restrictions, technical failures, service interruptions, or other circumstances attributable to third parties.
In no event shall the total liability of Admedia Network DOO BEOGRAD exceed the total amount actually paid by the User for the specific Campaign or Service giving rise to the claim.
Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law.
16. Indemnification
The User agrees to defend, indemnify, and hold harmless Admedia Network DOO BEOGRAD, its directors, officers, employees, contractors, affiliates, Business Partners, media owners, service providers, and representatives from and against any claims, demands, actions, proceedings, liabilities, damages, losses, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- your use of the Website or Services;
- your Campaigns, advertising content, or advertising materials;
- your violation of these Terms or any applicable law;
- your infringement of intellectual property rights, privacy rights, publicity rights, consumer rights, or other rights of any third party;
- any false, misleading, inaccurate, unlawful, or unauthorized content submitted by you;
- any claim, investigation, regulatory proceeding, or enforcement action relating to your Campaigns or advertising activities.
17. Privacy and Data Protection
The collection, use, storage, disclosure, transfer, and other processing of personal data are governed by our Privacy Policy.
By using the Website, you acknowledge that personal data may be processed in accordance with our Privacy Policy and applicable data protection laws.
Where required by applicable law, users shall obtain all necessary consents, authorizations, notices, and legal bases relating to personal data submitted through the Website or in connection with any Campaign.
18. Suspension and Termination
We reserve the right, at any time and without prior notice, to suspend, restrict, block, or terminate access to the Website or Services if we reasonably believe that:
- these Terms have been violated;
- applicable laws or regulations have been violated;
- the Website or Services are being used in an unlawful, fraudulent, abusive, harmful, or unauthorized manner;
- continued access may expose us, our Business Partners, media owners, users, or third parties to legal, technical, security, reputational, or commercial risks.
Termination or suspension shall not affect any rights, obligations, liabilities, or claims that arose prior to such termination or suspension.
Admedia Network DOO BEOGRAD and the Advertiser may terminate their contractual relationship at any time by mutual written agreement.
Either Admedia Network DOO BEOGRAD or the Advertiser may terminate an ongoing contractual relationship by providing ninety (90) days' prior written notice, unless otherwise agreed in writing.
Termination shall not affect Campaigns, reservations, payment obligations, or other commitments already confirmed prior to the effective date of termination, unless otherwise agreed in writing.
Admedia Network DOO BEOGRAD or the Advertiser may terminate the contractual relationship with immediate effect if the other party becomes insolvent, enters bankruptcy, liquidation, receivership, or ceases business operations.
19. Force Majeure
Neither Admedia Network DOO BEOGRAD nor the Advertiser shall be liable for any delay, interruption, or failure to perform their respective obligations resulting from events beyond their reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, governmental actions, telecommunications failures, power outages, epidemics, pandemics, or other force majeure events.
The affected party shall notify the other party as soon as reasonably practicable of the force majeure event and its expected impact.
20. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Advertising Policy, any agreement concluded between Admedia Network DOO BEOGRAD and the Advertiser, as well as any booking confirmation, insertion order, media plan, quotation, or other documentation relating to a specific Campaign, constitute the entire contractual framework governing the relationship between Admedia Network DOO BEOGRAD and the Advertiser and supersede all prior negotiations, communications, representations, and understandings relating to the same subject matter.
21. Assignment
The Advertiser may not assign, transfer, delegate, or otherwise dispose of any rights or obligations arising under these Terms without the prior written consent of Admedia Network DOO BEOGRAD.
22. No Waiver
Failure by Admedia Network DOO BEOGRAD to enforce any provision of these Terms shall not constitute a waiver of any right or provision and shall not affect our right to enforce such provision in the future.
23. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by applicable law.
24. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Serbia, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms, the Website, the Services, or any related matter shall be subject to the exclusive jurisdiction of the competent courts in Belgrade, Republic of Serbia.
Before initiating court proceedings, the parties shall make reasonable efforts to resolve any dispute amicably through good-faith negotiations.
25. Changes to the Terms
We may modify, amend, supplement, or replace these Terms from time to time.
Any updated version shall become effective upon publication on the Website, unless otherwise stated.
Your continued use of the Website following the publication of revised Terms constitutes acceptance of the updated Terms.
The date of the most recent update will be displayed at the beginning of these Terms under the heading “Last Updated”.
